Effective date: October 1, 2026
These Terms of Service ("Terms") form a binding agreement between Mint Candi, Inc., a Delaware corporation with its registered office at 8 The Green #21257, Dover, DE 19901, USA ("Mint Candi", "we", "us"), and the organization or individual that registers for or uses the MintCheck service ("Customer", "you"). By creating an account, clicking to accept, or using the Service, you agree to these Terms.
MintCheck is a business-to-business (B2B) facility & asset inspection platform. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.
"Service" means the MintCheck facility & asset inspection platform, including its web console, mobile applications, APIs, and related features made available by Mint Candi.
"Customer Data" means data, including personal data, that you or your Authorized Users submit to or generate through the Service, such as asset records, inspection results, photos, tasks, and worker information.
"Authorized User" means an administrator or worker you permit to access the Service under your account.
"Order Form" means an online or written ordering document specifying the plan, assets, and fees applicable to your subscription.
To use the Service you must create an account with accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account.
Each account must be used for a single legal entity or a single sole proprietor only. You may not use one account to operate, or to access the Service on behalf of, more than one distinct business (whether a legal entity or a sole proprietorship); a separate account and subscription is required for each distinct business. We may suspend any account that violates this provision after notice, and may terminate the account if the violation is not cured or the use is abusive or unlawful.
The Service is intended for business and organizational use by users who are at least 18 years old and able to form a binding contract.
The Service lets you register assets, run QR-based inspections, manage tasks and complaints, generate reports, and receive notifications. We may provide AI-assisted analysis to help detect safety risks and anomalies and to generate related alerts for you.
AI-assisted features are decision-support tools. You remain responsible for reviewing their outputs and for any decision or action you take based on them.
We may modify or improve features over time. We will not materially reduce the core functionality of a paid plan during a paid term without notice.
You are responsible for your Customer Data and for ensuring you have all rights and consents necessary to submit it to the Service, including personal data relating to your Authorized Users or workers.
You agree to use the Service in compliance with applicable laws and not to misuse it, including by uploading unlawful content or interfering with other customers' use of the Service.
Subject to these Terms and payment of applicable fees, Mint Candi grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes during the term.
You must not, and must not permit any third party to: (a) reverse engineer, decompile, or disassemble the Service except as permitted by law; (b) copy, modify, distribute, sell, resell, or lease the Service; (c) use the Service to build a competing product; (d) circumvent usage limits or security controls; or (e) use the Service for any unlawful purpose.
As between the parties, you own your Customer Data. For personal data within Customer Data, you act as the data controller and Mint Candi acts as the data processor, processing it only to provide and support the Service in accordance with your instructions.
We do not use identifiable Customer Data to train our own AI models; AI analysis is performed solely to provide the Service to you. Our handling of personal data is described in the Privacy Policy and the Data Processing Addendum (DPA), which are incorporated into these Terms by reference.
Service availability commitments and support targets (the "SLA"), where offered, apply only to paid or Enterprise plans as specified in the applicable Order Form. Free plans are provided "as is" without an availability commitment.
Scheduled and emergency maintenance may temporarily affect availability; we will use reasonable efforts to give advance notice of scheduled maintenance.
Support levels follow your plan: Business and Master plans receive priority support, as described on our pricing page or in your Order Form.
We offer a free plan, a pay-as-you-go plan billed per asset, and flat-rate Business and Master plans, each with the asset, site, and feature limits described on our pricing page at the time of purchase or in your Order Form. Flat-rate plans may be billed monthly or annually. Paid subscriptions renew automatically for successive terms unless cancelled before the end of the current term.
Increases in usage (for example, adding assets on the pay-as-you-go plan) are billed immediately on a prorated basis for the remainder of the current billing period. Upgrades to a higher plan take effect immediately.
Each plan has limits on the number of assets and sites. When you reach a limit, you cannot register additional assets or sites until you move to a higher plan; we do not bill overage beyond a plan's limits. Assets that exceed your plan's limit (for example, after a trial ends or a plan is downgraded) are not deleted; they are placed in read-only mode and become fully available again as soon as you move to a plan that covers them.
Reductions in usage, downgrades, or partial cancellations take effect at the start of the next billing period, and a downgrade is only available when your usage fits within the limits of the lower plan. We do not provide refunds or credits for the unused portion of the current period, and reductions do not trigger any re-billing for that period.
We may offer a free trial of a paid plan (currently fourteen (14) days for the Business plan). A trial requires a valid payment method. At the end of the trial your subscription converts automatically to the paid plan and billing begins, unless you cancel before the trial ends. You may cancel at any time during the trial at no charge.
Except where required by mandatory law, all fees are non-refundable, including fees for prepaid annual or other terms cancelled before the term ends. Fees are exclusive of taxes, which are your responsibility. We may suspend the Service for overdue payment after notice.
We may change our prices or plan limits. We will give you at least thirty (30) days' notice before a price increase takes effect for your subscription, and the new price applies from your first renewal after the notice period. If you do not agree to the change, you may cancel before it takes effect.
Each plan includes a lookback period during which historical records (such as inspection results, tasks, and their attachments) can be viewed and searched in the console, as set out on our pricing page or in your Order Form (currently 12 months for the Free and pay-as-you-go plans, 36 months for the Business plan, and unlimited for the Master plan).
The lookback period limits what is displayed in the console; it does not delete your data. Records outside the lookback period are retained and remain available for export at any time, and they are shown again in the console immediately when you move to a plan with a longer lookback period.
The lookback period does not affect any retention obligation imposed on you by applicable law, and it is separate from the deletion of data on termination described in the Term and Termination section below.
The lookback limits in this Section take effect twelve (12) months after the effective date of the version of these Terms that first introduced them. Until then, all records remain viewable in the console regardless of plan.
Mint Candi and its licensors retain all right, title, and interest in and to the Service and all related intellectual property. No rights are granted to you except as expressly stated in these Terms.
If you provide feedback or suggestions, we may use them without restriction or obligation to you.
Each party may receive confidential information of the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party.
Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-assisted outputs will be accurate or complete.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot be excluded under applicable mandatory law.
These Terms apply while you use the Service. You may stop using the Service and close your account at any time, subject to the billing terms above.
We may suspend or terminate your access for material breach after notice and a reasonable opportunity to cure, or immediately for unlawful use. On termination, your right to use the Service ends; provisions that by their nature should survive will survive. On termination or withdrawal, we retain your data in a recoverable state for up to 90 days and then permanently delete it, except for information we are legally required to keep and residual copies in backups. During this grace period you may request restoration of your data through our support channel.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these Terms will be finally resolved by binding arbitration administered in the United States, in the English language, rather than in court, except that either party may seek injunctive relief for misuse of intellectual property or confidential information. Nothing in this section limits any non-waivable rights you may have under the mandatory laws of your country of residence.
We may update these Terms from time to time. We will post the updated Terms and, for material changes, provide reasonable notice. Your continued use of the Service after the changes take effect constitutes acceptance.
These Terms may be provided in multiple languages for your convenience. In the event of any conflict or inconsistency between the English version and a translated version, the English version prevails.
